Terms and Conditions Agreement

Effective September 9, 2008

Goodwin Solutions (“Goodwin Solutions”, “The Website”, “We”, “Us”) provides website building, design, programming, and hosting services. By using any services or websites provided by Goodwin Solutions, You (“Client”, “Customer”, “Visitor”, “User”) agree to be bound by this Terms and Conditions Agreement.

Theme Porting Service

We convert, reformat, and rewrite (from here on referred to as porting) themes and templates (from here on referred to as themes) to work with the Drupal content management system (CMS). You pay for the service and/or time it takes to complete the porting process and not for the theme itself.

You agree to take full responsibility, and not to hold Goodwin Solutions, or any of its affiliates or subsidiaries, responsible for any liability from the porting process. You agree that you have not knowingly and/or willfully requested to have work done that will violate any laws, especially copyright laws.

Website Conversion Service

Goodwin Solutions can transfer Your static HTML/CSS website to the Drupal content management system (CMS). You acknowledge and assert that You own the website that is being converted or you have full permission and authorization from the website’s owner.

You agree to take full responsibility, and not to hold Goodwin Solutions, or any of its affiliates or subsidiaries, responsible for any liability from the website conversion process. You agree that you have not knowingly and/or willfully requested to have work done that will violate any laws, especially copyright laws.

Custom Services

Goodwin Solutions performs custom services determined and agreed to on a case by case basis.

Warranty

Goodwin Solutions takes pride in its service and workmanship. We guarantee that our work is free of major bugs. We agree to fix all major bugs free of charge. We reserve the right to make the final determination of what and what isn’t a major bug on a case by case basis.

If You report a bug, and after careful debugging, it is found that our code was not at fault, We reserve the right to charge our normal hourly rate for debugging. You agree to pay Our invoice upon receipt.

A major bug is defined as:

  1. Any code that does not behave as it is expected to in either Internet Explorer 7 and Fire Fox 3
  2. Any code that renders the site unusable in either Internet Explorer 7 and Fire Fox 3

Quotes

By making the first installment payment, You agree to be responsible for all charges incurred, by the work detailed in the quote.

You acknowledge that you are allowed to request changes to the services requested, and subsequently the quote, whenever you wish or desire, however, doing so will result in the quote, and subsequently charges incurred, to change. If a quote is changed We reserve the right to request and receive another installment payment before work continues. If services are reduced and the quote amount is lowered, You agree that You will not be entitled to any sort of refund or compensation, including interest, until the project is complete and the final invoice is issued.

Quotes are estimates and are calculated using Our best educated guess. You acknowledge that the quote may or may not match the final invoice. You will be presented with a final bill listing total hours worked times our current hourly rate (Hours x Rate) plus any fees charged in accordance with the Billing, Fees and Payments section of this Agreement.

Revisions

Goodwin Solutions wants each and every Customer to be satisfied with their service and end product. For theme ports, site conversions, and custom work We include in the quote a period for revision. Revisions occur after the project has been completed to Our satisfaction. The revision round is the time for the customer to review the work and make any changes and/or modifications before making final payment.

Bugs and inaccuracies in the work are not considered revisions. We agree to fix any bugs and inaccuracies, not including customer vagueness, in Our work. We reserve the right to determine, and make the final decision, as to what constitutes a bug, inaccuracy, and/or adjustment.

Revisions are for customer desired adjustments only. The revision round is not to exceed one (1) hour or one (1) round.

Billing, Fees, and Payment

Goodwin Solutions requires an upfront partial payment for any and every project it works on. This payment should be considered an installment payment and not a deposit. Once work as begun You are responsible for all charges incurred, which includes all fees quoted plus our hourly rate times hours worked. There will be no refunds issued for fees or hours worked. You will be entitled to a refund for the remaining balance, if any.

All invoices are due upon receipt and You agree to make all requested and required payments immediately.

No credit will be offered unless specifically agreed to.

Project Cancellation

If You choose to cancel Your project, and at least one half hour of work as already been performed, You agree to pay all fees associated with your project that were detailed in Your quote, and all hourly charges incurred.

Jurisdiction

In the unlikely event a matter between Goodwin Solutions and You results in a lawsuit, You agree to waive jurisdiction claims and handle all case, court, and legal matters in the Country of the United States, State of Nevada, County of Clark, and City of Las Vegas.

Changes

We may modify this Agreement from time to time and such modification shall be effective upon posting to http://goodwinsolutions.com/terms. Your continued use of our services after we post a revised Agreement signifies your acceptance of the revised Agreement. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes
